Affiliate Program Terms and Conditions

Welcome to the Affiliate Program of Seen Art Limited (“Company”, “we”, “us”, or “our”). These Terms and Conditions govern your participation in the Seen Art Limited Affiliate Program (“Program”). By signing up as an affiliate, you agree to these terms and conditions in their entirety.

1. Enrollment in the Program

1.1 To enroll, you must complete and submit the online application form.

1.2 We reserve the right to accept or reject any application at our sole discretion for any reason or no reason.

1.3 By applying, you confirm that you are at least 18 years old and legally capable of entering into a binding contract.

2. Affiliate Obligations

2.1 You agree to market and promote our subscription-based products in compliance with all applicable laws and these terms.

2.2 You may not:

• Use false or misleading statements about Seen Art Limited or its products.

• Engage in any spam activities or unsolicited emails.

• Bid on or purchase search engine keywords, pay-per-click ads, or domain names using the Seen Art Limited trademark or variations thereof.

2.3 You must not represent yourself as an employee, partner, or representative of Seen Art Limited.

3. Affiliate Links and Tracking

3.1 We will provide you with a unique affiliate link to track referrals.

3.2 It is your responsibility to ensure the proper integration of affiliate links on your website, social media, or other promotional channels.

3.3 We are not liable for tracking errors that may result from improper integration or other technical issues.

4. Commission Structure

4.1 You will earn a commission on completed subscription purchases made through your affiliate link. Specific rates and terms will be detailed in your affiliate account dashboard.

4.2 Commissions are calculated on the net sale amount, excluding taxes, shipping, and refunds.

4.3 Payments will be made monthly, provided your commission balance exceeds a minimum payout threshold of $20. Balances below the threshold will roll over to the next month.

4.4 Payments will be made via PayPal. Any applicable fees are your responsibility.

5. Refunds and Chargebacks

5.1 If a customer referred by you cancels their subscription or requests a refund, your commission will be reversed for that transaction.

5.2 In the case of chargebacks or fraudulent transactions, commissions will also be deducted.

6. Termination

6.1 Either party may terminate this agreement at any time by providing written notice.

6.2 We reserve the right to terminate your participation immediately if we determine, in our sole discretion, that you have violated these Terms and Conditions or engaged in activities that harm our reputation or business.

6.3 Upon termination, you will forfeit any unpaid commissions and must remove all affiliate links and marketing materials associated with Seen Art Limited.

7. Intellectual Property

7.1 You are granted a limited, non-exclusive, revocable license to use our trademarks, logos, and approved marketing materials solely for the purpose of promoting our products under this Program.

7.2 You may not modify our trademarks or logos in any way.

7.3 All intellectual property rights remain the sole property of Seen Art Limited.

8. Limitation of Liability

8.1 Seen Art Limited is not liable for any indirect, incidental, special, or consequential damages arising in connection with this Program.

8.2 Our liability under these Terms and Conditions shall not exceed the total amount of commissions paid to you in the six (6) months preceding the claim.

9. Confidentiality

9.1 You agree to maintain the confidentiality of all non-public information provided to you in connection with the Program, including but not limited to commission structures, strategies, and customer data.

10. Governing Law

10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom.

10.2 Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts located in the United Kingdom.

11. Modifications

11.1 We reserve the right to modify these Terms and Conditions at any time. Affiliates will be notified of changes via email or the affiliate dashboard. Continued participation in the Program after changes constitutes acceptance of the updated terms.

12. Miscellaneous

12.1 These Terms and Conditions represent the entire agreement between you and Seen Art Limited concerning the Affiliate Program.

12.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
